Terms of Service

These terms govern your use of nexus22.tech. They are not the contract for a development engagement — that is always a separate signed agreement, and where the two differ, the signed agreement wins.

1. Who you are dealing with

This website is operated by Nexus 22 Solutions LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its principal office at 30 N Gould St, Ste R, Sheridan, WY 82801. In these terms "we" and "us" mean Nexus 22 Solutions LLC, and "you" means the person or organisation using the site.

2. Using this site

You may read, share and reference this site freely. You may not use it to break the law, attempt to gain unauthorised access to our systems, scrape it at a volume that degrades it for others, or misrepresent your relationship with us. We may suspend access if you do.

3. The content here is information, not an offer

Descriptions of our services, capabilities, processes and price ranges are provided for information. They are not a binding offer and do not create a contract. Nothing on this site is technical, legal, financial or tax advice for your specific situation. Any engagement begins only when both parties sign a written agreement.

4. Enquiries you send us

When you email us or submit a project brief, please do not include confidential information before we have a confidentiality agreement in place. We treat enquiries with discretion and we do not share them, but an unsolicited email is not a protected disclosure. We are happy to sign an NDA before a detailed conversation — just ask.

You keep ownership of the ideas and materials you send. You grant us only the permission needed to read your message and reply to it.

5. Our intellectual property

The design, text, code, graphics and branding of this site belong to Nexus 22 Solutions LLC and are protected by copyright and trade mark law. The name "Nexus 22", the Nexus 22 mark and this site's visual design may not be copied or used without our written permission. Third-party product names and technology marks referenced on this site belong to their respective owners and are used descriptively.

Work we produce under a client engagement is governed by that engagement's agreement. Our standard position is that ownership of the delivered work transfers to the client.

6. Third-party links

Where we link to another organisation's site, we do not control it and we are not responsible for its content, security or privacy practices.

7. Availability

We aim to keep this site available but do not guarantee it. We may change, suspend or withdraw any part of it at any time without notice. Nothing in this clause affects availability commitments in a signed service agreement.

8. Disclaimer of warranties

To the fullest extent permitted by law, this site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this clause may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, Nexus 22 Solutions LLC and its members, officers and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of your use of this site. Our total aggregate liability arising from your use of this site will not exceed one hundred United States dollars (US$100). This clause does not limit liability that cannot lawfully be limited, and does not apply to liability under a separate signed engagement agreement, which has its own terms.

10. Indemnity

You agree to indemnify Nexus 22 Solutions LLC against claims, losses and reasonable legal costs arising from your misuse of this site or your breach of these terms.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

12. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute arising from these terms, and you consent to that jurisdiction and venue.

13. Changes

We may update these terms. The version published on this page, with the date shown above, is the one that applies. Continuing to use the site after a change means you accept it.

14. General

If any provision of these terms is found unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between us regarding this website.
